Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the sole member of the Company who (at the date of these resolutions) would have been entitled to vote upon the resolutions set out below had they been proposed at a general meeting of the Company at which they were present, hereby passed the following Written Resolutions on 18 December 2020 as Special and Ordinary Resolutions:

"That the Company be wound up voluntarily under Section 84(1)(b) of the Insolvency Act 1986 and that Adrian Peter Berry (IP No. 8601) of Deloitte LLP, 1 City Square, Leeds, LS1 2AL and Stephen Roland Browne (IP No. 009281) of Deloitte LLP, 1 New Street Square, London, EC4A 3HQ be appointed as Joint Liquidators of the Company, for the purpose of winding up the Company's affairs and distributing its assets."
