Via written resolutions of the members of the above named company, duly convened and held at Stratus House, Emperor Way, Exeter Business Park, Exeter on 22 November 2019 the following resolutions were duly passed; as a Special Resolution and as an Ordinary Resolution respectively: -

1. "That the Company be wound up voluntarily".

2. "That Jonathan Mark Williams of Bishop Fleming LLP, Stratus House, Emperor Way, Exeter Business Park EX1 3QS, hereby is appointed Liquidator of the Company for the purpose of the voluntary winding-up, and any act required or authorised under any enactment to be done by the Liquidator may be done by all or any one or more of the persons holding the office of liquidator from time to time."

3. "At a subsequent physical meeting of creditors duly convened and held that Joannne Louise Hammond of Begbies Traynor (SY) LLP, 3rd Floor, Westfield House, 60 Charter Row, Sheffield S1 3FZ, Sheffield.North@Begbies-Traynor.com and Ian Walker of Begbies Traynor, Balliol House, Southernhay Gardens, Exeter EX1 1NP, be and hereby are appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up, and any act required or authorised under any enactment to be done by the Joint Liquidators may be done by all or any one or more of the persons holding the office of liquidator from time to time."
