Notice of these resolutions was issued to all members on 26 February 2019 by first class post, or electronically to their prescribed email address on the same day, as agreed at the prior board meeting. It was agreed that formal notice be waived. Notice of these resolutions was issued to all members in person during a board meeting held on 26 February 2019. It was agreed that formal notice be waived. On consideration of the notice, the following resolutions be considered and if thought fit, passed:

"That upon swearing a Declaration of Solvency, it has been proved to the satisfaction of this meeting that the Company is wound up under a Members' Voluntary Liquidation procedure and that Matthew Thomas Colbourne Frayne (IP No. 9158) of Fraser Frayne Insolvency Practitioners Ltd, Old Canal Cottage, Dunkerton, Bath, NE Somerset, BA2 8BS be appointed Liquidator for the purposes of the voluntary winding up of the Company."
