Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 on 30 May 2016 the Directors of the Company proposed that the following written resolutions be passed as Special and Ordinary Resolutions respectively:

“That it has been proved to the satisfaction of the members that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily and that Ewen R Alexander, of Johnston Carmichael LLP, Bishop’s Court, 29 Albyn Place, Aberdeen, AB10 1YL, (IP No. 6754) be appointed Liquidator of the Company.”
