By written resolution of the members of the Company, duly passed on 4 September 2017, the following Resolutions were passed, as a Special Resolution and as Ordinary Resolutions respectively:

1) That the Company be wound up voluntarily.

2) That Christopher Purkiss and Brian Baker of Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD be appointed Joint Liquidators of the Company for the purposes of the voluntary winding-up.

3) That any act required or authorised under any enactment to be done by the Joint Liquidators may be done by all or any one of the persons for the time being holding such office.
