At a General Meeting of the Members of the above named Company duly convened and held at Stirling Toner Ltd, 227 Sauchiehall Street, Glasgow G2 3EX on 2nd June 2020 the following written resolutions were duly passed by the shareholders as a special resolution and ordinary resolutions:

SPECIAL RESOLUTION

That the Company be wound up voluntarily.

ORDINARY RESOLUTION

1. That Gerard Patrick Crampsey, of Stirling Toner Ltd, 227 Sauchiehall Street, Glasgow G2 3EX (IP Number 023) be and is hereby appointed liquidator for the purpose of such winding-up and that any power conferred on him by the company, or by law, be exercisable by him alone.

2. That the Liquidator be and is hereby authorised to divide among the members in specie or kind the whole or any part of the assets of the Company.
