NOTICE OF FINAL MEETING

NOTICE IS HEREBY GIVEN that a final meeting of the members of M & H Capital Limited will be held at 10:00a.m. on 23 December 2020. The meeting will be held at the offices of Crowe U.K. LLP, 4 Mount Ephraim Road, Tunbridge Wells, Kent TN1 1EE.

The meeting is called pursuant to Article 80 of the Insolvency (NI) Order 1989 for the purpose of receiving an account showing the manner in which the winding-up of the company has been conducted and the property of the company disposed of, and to receive any explanation that may be considered necessary.

Any member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote on their behalf. A proxy need not be a member of the company.

In order to comply with current government and health care advice during the Covid-19 pandemic a physical meeting of members cannot take place. In order to provide members with the opportunity to participate in the meeting, the meeting will be held remotely by telephone and/or video conferencing facilities.

In order to make suitable arrangements to ensure that all those wishing to participate are able to take part, members are requested to submit their proxy form in advance of the meeting and indicate that they wish to be sent details by email of how they may participate in the meeting at the required time.

The following resolutions will be considered at the members’ meeting:

1. That the Joint Liquidators’ final report and receipts and payments account be approved.

2. That the Joint Liquidators receive their release.

Proxies to be used at the meeting should be lodged at Crowe U.K. LLP, 4 Mount Ephraim Road, Tunbridge Wells, Kent TN1 1EE no later than 12 noon on the working day immediately before the meeting.
