At a general meeting of the above-named company duly convened and held at 10:30 am on 4 August 2020, the following resolutions were passed: No. 1 & No. 4 as special resolutions and No. 2, No. 3 and No. 5 as ordinary resolutions:-

1 THAT the company be wound up voluntarily.

2 THAT John William Butler and Andrew James Nichols of Redman Nichols Butler, The Chapel, Bridge Street, Driffield, Y025 6DA be and are hereby appointed joint liquidators for the purpose of such winding up that the joint liquidators may act jointly and severally in all matters relating to the conduct of the liquidation of the company.

3 THAT the joint liquidators' remuneration shall be fixed by reference to the time properly given by them and their staff in attending to matters arising in the winding up, including those falling outside their statutory duties undertaken at the request of members but shall not exceed a maximum of ÂŁ1,350.00 plus disbursements plus VAT unless otherwise agreed by the members.

4 THAT the joint liquidators be authorised to make distributions in specie.

5 That the joint liquidators are to be reimbursed for any expenses or necessary disbursements properly charged or incurred in the course of carrying out their duties. These expenses include category 1 and category 2 disbursements. The basis on which the category 2 disbursements are charged is disclosed within "A creditor 's guide to the fees and disbursements charged by Redman Nichols Butler". The joint liquidators are at liberty to draw and pay these expenses and disbursements in accordance with the forgoing resolution without further reference to members.
