By written resolution of the sole Member of the above-named company passed on 31 December 2018, the following Resolutions were duly passed as a Special Resolutions:

1, “THAT the Company be wound up voluntarily pursuant to section 84(1)(b) of the Insolvency Act 1986 (the “Act”).”

2. “THAT subject to the passing of resolution one above that Laura Waters and Rob Lewis of PricewaterhouseCoopers LLP, 7 More London Riverside, London SE1 2RT, be and hereby are appointed as joint liquidators of the Company (the “Liquidators”) for the purposes of winding up the Company’s affairs and distributing its assets and any act required or authorised under any enactment to be done by the Liquidators is to be done by all or any one or more of the persons for the time being holding office.”
