At a General Meeting of the members of the above-named Company, duly convened, and held at the offices of DL Partnership (UK) Limited, DLP House, 46 Prescott Street, Halifax HX1 2QW at 10.15 am on 23 March 2017 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily, and that Sarah Long and Antony Denham, both of DL Partnership (UK) Limited, DLP House, 46 Prescott Street, Halifax, HX1 2QW, (IP Nos 9615 and 9613) be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up.”
