At a Meeting of Members of the above-named LLP, duly convened, and held at 3pm on 22 June 2022 at The Roma Building, 32-38 Scrutton Street, London EC2A 4RQ, the DETERMINATIONS were duly made viz; -

DETERMINATIONS:

1. THAT the Limited Liability Partnership be wound up voluntarily.

2. THAT Phillip Anthony Roberts of Sterling Ford be and is hereby appointed liquidator for the purposes of such winding up and that he shall be remunerated and his disbursements paid in accordance with Sterling Ford`s Terms & Scale of Charges MVL(P) dated 1 March 2022.

3. THAT the Liquidator be and is hereby authorised to divide among the members in specie all or any part of the limited Liability Partnership`s assets.
