Notice is given under Rules 4.14, 8.7, and 8.8 of the Insolvency (Scotland) (Receivership and Winding Up) Rules 2018 (“the Rules”) and Section 100 of the Insolvency Act 1986 (“the Act”) This notice is delivered by director of the company c/o George Dylan Lafferty, 180 Advisory Solutions Limited, Suite 148 Central Chambers, 11 Bothwell Street, Glasgow, G2 6LY, (telephone number 0141 248 7574), in accordance with resolutions passed by the board of directors (“the convener”). A resolution of the shareholders shall be considered prior to 23.59 hours on 26 June 2020, the decision date for the deemed consent. The proposed decision is in respect of the appointment of Liquidator of the company for the purposes of winding up: “That George Dylan Lafferty of 180 Advisory Solutions Limited, Suite 148 Central Chambers, 11 Bothwell Street, Glasgow, G2 6LY be and is hereby appointed Liquidator of the company for the purposes of the winding up.” Creditors shall also be asked whether to establish of a Liquidation Committee, if sufficient eligible parties are nominated and willing to act. In respect of each of the decisions proposed above, unless the statutory threshold (“the threshold”) object to it in accordance with the procedure set out below, the creditors are to be treated as having made the proposed decision. Otherwise, the creditors are to be treated as not having made such decision and a physical meeting shall be convened to consider the decisions. In order to object to any of the proceedings, all objections and statements of claim (if not already submitted) must be delivered to the convener or chair before or during the decision date, failing which their objection will be disregarded. All objections and statements of claim must be delivered by 23:59 hours pm on 26 June 2020, being the decision date, failing which their objection will be disregarded. A list of the names and addresses of the company’s creditors will be available for inspection free of charge at the offices of 180 Advisory Solutions Limited, Suite 148 Central Chambers, 11 Bothwell Street, Glasgow, G2 6LY between 10.00am and 4.00pm on the two business days preceding the decision date. Unless there are exceptional circumstances, a creditor will not be entitled to vote unless their written statement of claim, (‘claim’), which clearly sets out the name and address of the creditor and the amount claimed, has been lodged and admitted for voting purposes. Unless they surrender their security, secured creditors must give particulars of their security, the date when it was given and the estimated value at which it is assessed if they wish to object.
