"That the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Sean Bucknall (IP No. 18030) of Quantuma LLP, 3rd Floor, 37 Frederick Place, Brighton, BN1 4EA and Andrew Watling (IP No. 15910) of Quantuma LLP, Office D, Beresford House, Town Quay, Southampton, SO14 2AQ be appointed as Joint Liquidators for the purposes of such voluntary winding up."
