At a General Meeting of the above-named Company, duly convened and held at County Hall - Riverside Building, 2nd Floor, Belvedere Road, London SE1 7GP on 1st August 2019 the subjoined Special & Ordinary Resolutions were passed, viz:-

SPECIAL RESOLUTIONS

1. That the Company be wound-up voluntarily and Shane Michael Crooks and Malcolm Cohen both of BDO LLP, 55 Baker Street, London W1U 7EU be and are hereby appointed Joint Liquidators for the purposes of such winding-up.

2. That the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

ORDINARY RESOLUTION

1. That the Joint Liquidators' fees be paid on a time costs basis.

2. That the Joint Liquidators may act jointly and severally so that all functions may be exercised by either or both of the Liquidators.
