I, the undersigned being a member of the above company for the time being having a right to attend and vote at general meetings, hereby pass the following resolutions in accordance with Section 378(2) of the Companies Act 1985 and 84(1)(b) of the Insolvency Act 1986 on 2 September 2020, as a special and ordinary resolution respectively:

"That the Company be wound up voluntarily and that Jonathan Mark Taylor (IP No. 10570) of T H Financial Recovery, Suites 101 & 102, Empire Way Business Park, Liverpool Road, Burnley, BB12 6HH be and is hereby appointed Liquidator of the company."
