"That it has been proved that the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Philip Francis Duffy (IP No. 9253) and Allan Watson Graham (IP No. 8719) both of Duff & Phelps Ltd, The Chancery, 58 Spring Gardens, Manchester, M2 1EW be and are hereby appointed Joint Liquidators for the purposes of its voluntary winding up."
