Pursuant to Section 283 of the Companies Act 2006, the following written resolutions were passed on 31 August 2021 as a Special resolution and an Ordinary resolution respectively: "That the Company be wound up voluntarily, and that Asher Miller (IP No. 9251) and Stephen Katz (IP No. 8681) both of Begbies Traynor, Pearl Assurance House, 319 Ballards Lane, London N12 8LY be and are hereby appointed Joint Liquidators for the purposes of such winding-up and that any power conferred on them by law or by this resolution, may be exercised and any act required or authorised under any enactment to be done by them, may be done by them jointly or by each of them alone."
