At a General Meeting of the members of the Company, duly convened and held on 22 July 2022 at 10.00 am at Knapton Quarry, East Knapton, Malton, YO17 8JA the following resolutions were duly passed as Special and Ordinary Resolutions:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure and that Kevin Brown (IP No. 17390) of ELS Advisory Limited, 31 Harrogate Road, Leeds, LS7 3PD be appointed Liquidator for the purposes of such voluntary winding up and that he is authorised to act in this regard."
