At a General Meeting of the Company convened and held at Astute House, Wilmslow Road, Handforth, SK9 3HP on 14 September 2021 at 12.45 pm the following special resolution numbered one and ordinary resolution numbered two were passed:

The following Special Resolution (1) together with the remaining Ordinary Resolution(s) were passed by the Members of the Company by written resolutions. The requisite voting majority was received on 14 September 2021.

1. That the Company be wound up voluntarily.

2. That Annette Reeve of Beesley Corporate Recovery, Astute House, Wilmslow Road, Handforth, SK9 3HP, be appointed liquidator of the Company for the purposes of the voluntary winding-up.
