At a General Meeting of the above-named company, duly convened, and held at 12 noon on the 14 October 2021 the following resolutions were passed:

Resolutions

1. "That the company be wound up voluntarily."

2. "That licensed Insolvency Practitioners, William Thomson Mercer Cleghorn and Emma Sarah Louise Porter, both of Aver, Chartered Accountants, 21 York Place, Edinburgh, EH1 3EN, be appointed as Joint Liquidators of the company and that they act jointly and severally."

3. "That the Joint Liquidators be authorised to pay unsecured creditors in full."

4. "That the Joint Liquidators be authorised to distribute any of the company’s assets in specie."

5. "That the Joint Liquidators fees will be in accordance with the signed engagement letter."
