At a General Meeting of the above-named Company, duly convened, and held at 16 Oxford Court, Bishopsgate, Manchester, M2 3WQ on 4 June 2019 the following resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Allan Christopher Cadman (IP No. 9522) and Stephen James Wainwright (IP No. 5306) both of Poppleton & Appleby, 16 Oxford Court, Bishopsgate, Manchester M2 3WQ be and are hereby appointed joint liquidators for the purposes of such winding-up.”
