At a General Meeting of the above-named Company, duly convened, and held at the offices of BDO LLP, 3 Hardman Street, Spinningfields, Manchester M3 3AT on 24 January 2017 the subjoined Special Resolution was duly passed, viz:-

RESOLUTION

THAT it has been proved to the satisfaction of this meeting that it is advisable to wind up the Company and, accordingly, the Company be wound up voluntarily, and that Kerry Bailey and Ian J Gould, Licensed Insolvency Practitioners of BDO LLP, 3 Hardman Street, Spinningfields, Manchester M3 3AT, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.

At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act, 1986, and held on the same day, the appointment of Kerry Bailey and Ian J Gould was confirmed.
