Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company proposed on 21 March 2019, that the following Written Resolutions be passed as a Special and Ordinary resolution:

“That the Company be wound up voluntarily and that Ben Woolrych (IP No. 10550) and Anthony Collier (IP No. 18910) both of FRP Advisory LLP, 4th Floor, Abbey House, Booth Street, Manchester M2 4AB be and are hereby appointed Joint Liquidators for the purposes of the voluntary winding up.”
