At a general meeting of the above named Company, duly convened, and held at Baker Tilly Creditor Services LLP, Salisbury House, 31 Finsbury Circus, London, EC2M 5SQ on 4 June 2018 at 12.00 noon the following special resolution was duly passed:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Nik Edwards (IP No. 9005) of RSM Restructuring Advisory LLP, The Pinnacle, 170 Midsummer Boulevard, Milton Keynes MK9 1BP and Duncan Beat (IP No. 8161) of RSM Restructuring Advisory LLP, 75 Springfield Road, Chelmsford, CM2 6JB be appointed as Joint Liquidators for the purposes of such voluntary winding up."
