We, the undersigned, being the sole member of the Company who (at the circulation date of this resolution has the right to vote on the resolution) hereby irrevocably agree pursuant to Section 288 of the Companies Act 2006 that on 9 September 2020 the following ordinary and special resolutions shall for all purposes be as valid and effective as if they had been passed as ordinary and special resolution at a general meeting of the Company duly convened and held:

"That the Company be wound up voluntarily and that Philip Reynolds (IP No. 21190) and Geoff Rowley (IP No. 8919) both of FRP Advisory Trading Limited, 2nd Floor, 110 Cannon Street, London, EC4N 6EU be and are hereby appointed Joint Liquidators (the "Liquidators") for the purposes of such winding up."

The undersigned, being the sole member of the Company and entitled to vote on the above resolutions on 9 September 2020, hereby irrevocably agree to the resolutions set out above.
