a SPECIAL RESOLUTION "that the limited liability partnership be wound up voluntarily"

and an ORDINARY RESOLUTION "that LAURENCE RUSSELL (IP No. 9199) of Albert Gooodman LLP, Goodman House, Blackbrook Park Avenue, Taunton, Somerset TA1 2PX be appointed liquidator of the limited liability partnership for the purposes of the voluntary winding-up."
