At a general meeting of the above named Company, duly convened and held at Morgan Reach House, 136 Hagley Road, Birmingham, B16 9NX on 31 May 2019 the following Special and Ordinary resolutions were duly passed:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities, continue its business and that it is advisable to wind up the same under an insolvent winding up procedure and that Matthew Thomas Colbourne Frayne (IP No. 9158) of Fraser Frayne Insolvency Practitioners Ltd, Old Canal Cottage, Dunkerton, Bath, Somerset, BA2 8BS be appointed Liquidator for the purposes of the voluntary winding up of the Company and that he may act severally in this regard."
