At a General Meeting of the members of the above named company, duly convened and held at Premier Inn Chorley North, Moss Lane, Whittle-Le-Woods, Lancashire, PR6 8AB on 03 April 2017 the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that E Walls, of KSA Group Ltd, C12 Marquis Court, Marquis Way, Team Valley, Gateshead, NE11 0RU and Steve Hodgson, of BHP Clough Corporate Solutions LLP, New Chartford House, Centurion Way, Cleckheaton, BD19 3QB, (IP Nos 9113 and 13550) be hereby appointed Joint Liquidators for the purposes of such winding up.”
