At a General Meeting of the above named Company, duly convened and held at 45 Church Road, Tiptree, Colchester, Essex, CO5 0SU on 28 May 2019, the following resolutions were passed as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily and that Lee De'ath (IP No. 9316) of CVR Global LLP, Town Wall House, Balkerne Hill, Colchester, Essex, CO3 3AD and Richard Toone (IP No. 9146) of CVR Global LLP, 20 Furnival Street, London, EC4A 1JQ be and are hereby appointed as Joint Liquidators for the purposes of such winding up. Any act required or authorised under any enactment to be done by a liquidator may be done by one of them."
