At a General Meeting of the members of the above named company, duly convened and held at 68 Lombard Street, London, EC3V 9LJ on 9 March 2020 the following resolutions were duly passed as special and ordinary resolutions:

Special Resolutions

i. "That the company be wound up voluntarily".

ii. That the liquidator be and is hereby authorised to distribute among the member in specie or in kind the whole or any part of the assets of the company".

Ordinary Resolutions

i. "That Isobel Susan Brett of Bretts Business Recovery Limited, 21 Highfield Road, Dartford, Kent, DA1 2JS be and is hereby appointed liquidator of the company".

ii. "That the liquidator's fee will be charged as a fixed amount of ÂŁ3,500 plus disbursements plus VAT".
