Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions on 06 February 2019 as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same, and, accordingly, that the company be wound up voluntarily and that Kenneth Pattullo and Adam Southard, both of Begbies Traynor (Central) LLP, Finlay House, 10-14 West Nile Street, Glasgow, G1 2PP, (IP Nos. 11930 and 008368), be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding up.”
