At a general meeting of the above-named company duly convened, and held at the offices of 118 Jubilee Road, Waterlooville, P07 7RG on 28 January 2022 at 10.00 am, the following resolutions were passed, as a special resolution and an ordinary resolution respectively:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Tracey Howarth (IP No. 16410) of Carter Halliwell Limited, Unity House, Westwood Park, Wigan, WN3 4HE be and is hereby appointed Liquidator for the purposes of such voluntary winding up."
