At a General Meeting of the above named Company, duly convened and held within the offices of Armstrong Watson LLP, 51 Rae Street, Dumfries, DG1 1JD on 11 February 2019 the following Special Resolution and Ordinary Resolution was duly passed:

“That it has been proved, to the satisfaction of this Meeting, that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily and that Mark Ranson and Pamela Coyne, both of Armstrong Watson LLP, 24 Blythswood Square, Glasgow, G2 4BG, (IP Nos. 9299 and 9952) be, and are hereby, appointed Joint Liquidators of the Company and are empowered to act jointly and severally in all matters.”
