No 1. as a Special Resolution and No 2. as an Ordinary Resolution of the Company.

For the avoidance of any doubt it should be noted that these proceedings have no connection with the ongoing trade of Hetland Garden Nursery, which is being carried out by a separate legal entity.

Resolutions

1. “That the Company be wound up voluntarily” and

2. “That Daryl Warwick and Mike Kienlen, Licensed Insolvency Practitioners, of Armstrong Watson LLP, Fairview House, Victoria Place, Carlisle, Cumbria, CA1 1HP and be appointed Joint Liquidators of the Company and that they act jointly and severally ”.
