At a general meeting of the above named company, duly convened and held remotely via a Skype Meeting on 28 April 2020 the following special and ordinary resolutions were passed:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that Adrian Allen (IP No. 008740) of RSM Restructuring Advisory LLP, Rivermead House, 7 Lewis Court, Grove Park, Leicester, Leicestershire, LE19 1SD and Mark Holborow (IP No. 22834)Hanover House, 18 Mount Ephraim Rd, Tunbridge Wells, TN1 1ED be appointed as Joint Liquidators for the purposes of such voluntary winding up."
