At a general meeting of Global Trust Plc held at the offices of the Company, 201 Bishopsgate, London, EC2M 3AE on 22 April 2016, at 2.30 pm, the following Special Resolution was duly passed:

“That (provided that the Directors shall not have resolved, prior to the date of this meeting (or any adjournment thereof) to abandon the Scheme): The Company be and is hereby wound up voluntarily under the provisions of the Insolvency Act 1986 and that Gareth Rutt Morris,(IP No. 9424) and Andrew Martin Sheridan,(IP No. 008839) both of FRP Advisory LLP, Kings Orchard, 1 Queen Street, Bristol, BS2 0HQ be and they are hereby appointed Joint Liquidators for the purposes of such winding up and distributing the assets of the Company in accordance with the Scheme and any power conferred on them by law, the Articles of Association or by this resolution may be exercised by them jointly or by each of them alone.”
