At a General Meeting of the Members of the above-named company, duly convened, and held on 20 June 2019 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound-up voluntarily."

"That Andrew William Shackleton and Colin Nicholls of Smart Insolvency Solutions Ltd, 1 Castle Street, Worcester WR1 3AA, be and are hereby appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up and that they act jointly and severally."
