RESOLUTION

THAT it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business, it is advisable to wind up the same, accordingly, that the Company be wound up voluntarily, and that Danny Nicolaas William Dartnaill and Simon Edward Jex Girling, Authorised Insolvency Practitioners, both of BDO LLP, Kings Wharf, 20-30 Kings Road, Reading, Berks RG1 3EX and Bridgewater House, Finzels Reach, Counterslip, Bristol BS1 6BX be appointed Joint Liquidators for the purpose of such winding up to act jointly and severally.
