At a general meeting of the Members of the above-named Company, duly convened, and held at Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH on 26 July 2017, the following resolutions were passed: 1 and 3 as special resolutions and 2, 4 and 5 as ordinary resolutions.

Resolutions

1. That the Company be wound up voluntarily; and

2. That Mr C H I Moore, of K J Watkin & Co., Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH be appointed Liquidator of the Company; and

3. That the Liquidator distribute the following assets and investment bonds in specie:-

I. The Fidelity Funds Network Investment Portfolio (ref no. 1004473538)

II. Golden Lane retail bond- 150 bonds of ÂŁ100 units

III. First State Asia sustainability funds

IV. First State global emerging markets funds

V. Ecobond 1 - ÂŁ5,000 in bonds

VI. Ecobond 2- ÂŁ13,000 in bonds

VII. Ecobond 3-ÂŁ10,000 in bonds

VIII. Big Lemon bus bonds- 45 bonds of ÂŁ100 units; and

4. That the Liquidator's fees will be charged as a fixed amount of ÂŁ4,000 plus disbursements, plus VAT; and

5. That the Liquidator be authorised to recover his category 2 disbursements as set out in his Practice Fee Recovery Policy disclosed to the members; and

6. That the Liquidator be authorised to instruct Mr B Matthews of Bissell & Brown to prepare cessation accounts for the Company, to finalise the Corporation Tax liability of the Company and to pay his reasonable costs for doing so as an expense of the liquidation.
