At a General Meeting of the above-named company, duly convened and held at Aura 1B, Urbanization de Bellresguard, Puerto de Pollenca, 07470, Mallorca, Spain on 29 June 2022 at 12.45 pm the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up same and accordingly that the company be wound up voluntarily, and that Richard Gardiner, of Thomson Cooper, 3 Castle Court, Carnegie Campus, Dunfermline KY11 8PB, (IP No: 9488) be and is hereby appointed Liquidator for the purposes of such winding-up.”
