Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions on 22 February 2021, as Special Resolutions:

“That the Company be wound up voluntarily and that Mark Grahame Tailby (IP No. 9115) and Graham Stuart Wolloff (IP No. 8879) both of Elwell Watchorn & Saxton LLP, 8 Warren Park Way, Enderby, Leicester, LE19 4SA be and are hereby appointed joint liquidators for the purposes of such winding up."

The undersigned, being all the persons who are entitled to vote on the above resolutions on the date of circulation to them, irrevocably vote in favour of them.
