At a general meeting of the above named company duly convened and held at Units 13 to 15 Brewery Yard, Deva City Office Park, Trinity Way, Salford, Manchester M3 7BB on 9 January 2017 at 11.00 am the following resolutions were passed: No 1 as a special resolution, No 2 as an ordinary resolution and No 3 as a special resolution.

1. That the company be wound up voluntarily.

2. That David N Kaye of Units 13 to 15 Brewery Yard, Deva City Office Park, Trinity Way, Salford, Manchester M3 7BB be and he is hereby appointed Liquidator for the purpose of such winding up.

3. That, in accordance with the provisions of the company’s articles of association, the Liquidator be and is hereby authorised to divide among the members in specie all or any part of the company’s assets.
