PURSUANT TO SECTIONS 282 (1), (3) AND (4) AND 283 (1) AND (4) TO (6) OF THE COMPANIES ACT 2006 AND 84(1)(B) OF THE INSOLVENCY ACT 1986

At a General Meeting of the Members of the above named Company duly convened and held at 400 Wood Road, Braintree, MA 02184, USA on 14 February 2019 the following Special Resolutions were duly passed:-

"That pursuant to section 84(1)(b) of the Insolvency Act 1986 the Company be wound-up voluntarily."

"That the Liquidator be and is hereby authorised to value the company's assets for the purpose of a distribution in specie and a capital distribution and to distribute the assets among the members accordingly."

"That pursuant to Sections 84(1) and 91 of the Insolvency Act 1986Brian Milne , of French Duncan LLP, 133 Finnieston Street, Glasgow, G3 8HB (IP No: 9381) be appointed Liquidator of the Company for the purposes of winding up the Company's affairs and distributing its assets."
