Written resolutions of the Members of the above-named Company were returned on 6 May 2019 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

That following the consolidation of operations into GlobalCare Clinical Trials LLC in the USA the Company be wound up voluntarily;

That Sandra Lillian Mundy and Alan Peter Whalley (the Joint Liquidators) both of James Cowper Kreston be and are hereby appointed Joint Liquidators for the purpose of winding-up the Company and that any act required or authorised under any enactment to be done by the Joint Liquidators needs to be done by both or either of each.
