RESOLUTIONS:

1. As a Special Resolution, That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that accordingly the Company be wound-up voluntarily.

27 As an Ordinary Resolution, THAT Phillip Anthony Roberts of Messrs Sterling Ford, Centurion Court, 83 Camp Road, St Albans, Herts AL1 5JN be and is hereby appointed Liquidator for the purposes of such Winding-Up.
