Notification of written resolutions of the above-named Company proposed by the sole shareholder and having effect as a special resolution and as an ordinary resolution respectively pursuant to the provisions of Part 13 of the Companies Act 2006.

I, the undersigned, being the sole shareholder of the Company hereby certify that the following written resolutions were circulated to all eligible members of the Company on 26 August 2020 the Circulation Date and that the written resolutions were passed on the Effective Date:

“That the Company be wound up voluntarily under Section 84(1)(b) of the Insolvency Act 1986 and subject to the passing of the above special resolution, Dean Watson (IP No. 009661) and Paul Stanley (IP No. 008123) both of Begbies Traynor (Central) LLP, 340 Deansgate, Manchester, M3 4LY be appointed as Joint Liquidators of the Company, for the purpose of winding up the company's affairs and distributing its assets and that the remuneration of the Joint Liquidators for their services in the winding up be fixed in the sum of £5,000 plus VAT together with their reasonable out of pocket expenses and proper disbursements to be vouched where any individual item of expenditure exceeds £500 plus VAT.”
