At a general meeting of the above named Company, duly convened and held at One Great Cumberland Place, Marble Arch, London W1H 7LW on 23 December 2015, the following Resolutions were passed, Resolution number 1 as a Special Resolution and Resolutions numbers 2 and 3 as Ordinary Resolutions:

1. That the Company be wound up voluntarily.

2. That A D Cadwallader (IP Number 9501) and N A Bennett (IP Number 9083) of Leonard Curtis, One Great Cumberland Place, Marble Arch, London W1H 7LW be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up.

3. That the Joint Liquidators be authorised to act jointly and severally in the liquidation.
