We, the undersigned, being the members of the above company for the time being having a right to attend and vote at general meetings, hereby pass the following resolutions in accordance with Section 378/(2) of the Companies Act 1985 and 84(1)(b) of the Insolvency Act 1986 on 4 October 2018, as a special resolution and an ordinary resolution respectively:

"That the Company be wound up voluntarily and that Jonathan Mark Taylor (IP No. 10570) of T H Financial Recovery, Suites 101 & 102, Empire Way Business Park, Liverpool Road, Burnley, BB12 6HH be and is hereby appointed Liquidator of the company."
