At a general meeting of the above named Company duly convened and held at 3 St. James's Place, London, SW1A 1NP on 12 July 2021, at 11.15 am, the following resolution was duly passed as a Special Resolution:

“That the Company be and is hereby wound up voluntarily pursuant to section 84(1)(b) of the Insolvency Act 1986, and that Gareth Rutt Morris (IP No. 9424) and Andrew Martin Sheridan (IP No. 008839) both of FRP Advisory Trading Limited, Kings Orchard, 1 Queen Street, Bristol, BS2 0HQ having consented to act, be and are hereby appointed as joint liquidators (the “Liquidators”) with the power to act jointly and severally for the purposes of such winding-up including realising and distributing the Company’s assets and any power conferred on them by law or by this resolution.”
