Special Resolution

1. That the Company be wound up voluntarily.

Ordinary Resolution

2. That David Hopkins and Kerry Bailey both of BDO LLP, 3 Hardman Street Spinningfields Manchester M3 3AT be appointed Joint Liquidators for the purpose of the voluntary winding up of the Company. The Joint Liquidators are to act jointly and severally.
